1. Agreement to Terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“Customer,” “User,” or “you”) and Lexicon Flow LLC, a Utah limited liability company (“Lexicon Flow,” “we,” “us,” or “our”).
By creating an account, using, or subscribing to Lexicon Flow, you agree to these Terms. If you do not agree, you may not use the Service.

2. Description of Service

Lexicon Flow is a SCADA project management platform that enables businesses to:

  • Generate submittals and control documentation,
  • Track workflows, project progress, and work assignments,
  • Author and store control narratives with references to real hardware, and
  • Track physical instruments, sensors, and equipment connected to SCADA and automation systems.

The Service is provided as a hosted web application located at https://lexicon-flow.com for commercial and industrial use.

3. Eligibility

You must be at least 18 years old and authorized to act on behalf of your company or employer to use the Service.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Authentication and login are handled securely through Clerk.

5. Subscriptions & Billing

  • Billing Provider: Payments are processed by Stripe.
  • Plan Types: Subscription plans are billed monthly or annually in advance.
  • Automatic Renewal: Renews automatically unless canceled prior to renewal.
  • Refund Policy: Fees are non-refundable except as required by law.
  • Taxes: You are responsible for applicable taxes.

6. Acceptable Use

You agree not to:

  • Use Lexicon Flow for unlawful or fraudulent activities.
  • Reverse engineer, decompile, or copy our software.
  • Upload or transmit malware or harmful code.
  • Interfere with system integrity, security, or availability.
  • Misrepresent your identity or affiliation.

Violation may result in account suspension or termination.

7. Intellectual Property

All software and trademarks remain the exclusive property of Lexicon Flow LLC.
Users retain ownership of their uploaded data and files.
You grant Lexicon Flow a limited license to store and display such data for Service operation.

8. Data & Privacy

Use of the Service is governed by our Privacy Policy.
Data is stored in Supabase and analyzed using Google Analytics.

9. Service Availability & Updates

Lexicon Flow may perform scheduled maintenance or updates.
We do not provide a guaranteed uptime or SLA.

10. Termination

Either party may terminate the account at any time.
Upon termination, your access to projects and files may be restricted or deleted.

11. Limitation of Liability

To the fullest extent permitted by law, Lexicon Flow LLC and its affiliates will not be liable for indirect or consequential damages, loss of profits or data, or any damages exceeding the fees paid in the twelve (12) months preceding the claim.

12. Warranty Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE.”
We disclaim all implied warranties.

13. Indemnification

You agree to indemnify and hold harmless Lexicon Flow LLC from claims, damages, or liabilities arising from your use or violation of these Terms.

14. Dispute Resolution

Disputes shall be handled under Utah law in Layton, Utah small claims court.

15. Changes to Terms

We may update these Terms periodically. Continued use indicates acceptance.
